Corporate Associate Manchester

An exciting opportunity has arisen for a Corporate Associate  to join a leading, highly respected law firm in Manchester. This firm is known for its top-tier corporate practice, focusing on M&A, private equity, and venture capital transactions, particularly within the tech, creative, and innovative business sectors and they are now seeking to grow an exciting new team in Manchester.

Key Responsibilities:

  • Managing a variety of corporate transactions, including M&A, private equity investments, and corporate finance matters.
  • Drafting and negotiating sale and purchase agreements, investment agreements, and ancillary documents related to acquisitions and disposals.
  • Conducting legal due diligence, advising on solutions, and managing the disclosure process.
  • Providing general corporate advisory work, including advising on share issues, internal reorganisations, and corporate governance.
  • Working closely with clients and external parties, including overseas counsel, and managing client calls independently.
  • Participating in business development initiatives and contributing new ideas to help drive growth for the firm.

Ideal Candidate:

  • Ideally 3-6 years PQE, with significant experience in corporate transactions, particularly in M&A and private equity (open to hearing from candidates outside of range).
  • Experience drafting and negotiating complex corporate documentation such as investment agreements, SPAs, and shareholder agreements.
  • Strong understanding of the venture capital/private equity investment process, including acting for both investors and target companies.
  • Ability to work in a collaborative, high-performing environment and manage your own caseload with minimal supervision.
  • Strong communication and client management skills, with the ability to build relationships with clients and colleagues alike.
